Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Confidesk software application.
Whether accessed via the confidesk.com website, our web application, or our desktop application (together, the “Service”), the Service is provided by Confidesk Limited, a company registered in England and Wales (“Confidesk”, “we”, “us”, or “our”). By creating an account or using the Service, you (“you” or the “user”) agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility and Accounts
- You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, to create an account and use the Service.
- You must provide accurate information when creating an account, including your name, email address, and billing address, and keep this information up to date.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You must notify us promptly if you become aware of any unauthorised use of your account.
2. Account Types, Trials, and Access Rules
- New accounts may begin with a trial period of up to 10 days.
- If you do not sign in for 3 consecutive days during the trial period, the trial period is shortened and your trial account will be removed 3 days after your last sign-in.
- To continue using the Service after the trial period on a free basis, you must pay a one-off verification fee. This fee is used to confirm you are a genuine individual user and is separate from any recurring subscription charge. It is non-recurring and does not itself grant access to paid features.
- To keep a free account active, you must sign in at least once every 30 days.
- If you do not sign in within 30 days, your account enters a grace period of a further 30 days. During the grace period you may sign in to restore normal access, but no new data may be added to or received by the account during this time (for example, incoming emails or other incoming data will not be accepted).
- If you do not sign in by the end of the grace period, your account and its associated data will be deleted.
- If your account's stored data exceeds the storage quota permitted for your account type, the account becomes read-only: existing data remains accessible, but no new data can be added, until usage is brought back within the applicable quota or you upgrade to a plan with sufficient quota.
Paid subscription plans provide access to additional features and/or increased storage quota, as described on the Service at the time of purchase.
- Subscriptions are billed on a recurring basis via our payment processors, Stripe and PayPal, and will automatically renew at the end of each billing period unless cancelled in accordance with Section 3.
- If your subscription lapses or is cancelled and your account's stored data exceeds the free-tier quota, your account becomes read-only (no new data may be added) and you will have a 90-day grace period from the date of cancellation to either renew your subscription or reduce your stored data to within the free-tier quota.
- If, at the end of that 90-day grace period, your stored data still exceeds the free-tier quota, your account and its associated data will be deleted.
3. Billing, Payment, and Cancellation
- Fees are shown in the currency and amount displayed at checkout and are payable via Stripe or PayPal.
- You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period unless stated otherwise.
- Except where required by applicable law, fees and the one-off verification fee are non-refundable, including for partial billing periods or unused portions of the Service.
- We may change our fees or plans on notice to you. Continued use of the Service after a fee change takes effect constitutes acceptance of the new fees.
4. Acceptable Use
You agree not to use the Service to engage in, facilitate, or store material related to any illegal activity, including but not limited to fraud, harassment, distribution of unlawful content, or infringement of third-party rights.
Termination for illegal use: If we reasonably believe you are using the Service for an illegal activity, we may suspend or terminate your access to the Service immediately and without refund, regardless of whether you hold a paid subscription.
5. Your Content and Data
- As between you and Confidesk, you retain ownership of the content and data you upload to or create within the Service (“Your Content”).
- You grant us a limited licence to host, store, process, and transmit Your Content solely as necessary to provide and maintain the Service to you.
- You are solely responsible for Your Content and for ensuring you have the right to upload and store it.
- You may delete Your Content and, where technically supported by the Service, your personal data at any time, as described in our Privacy Policy.
- Most data you store is encrypted; we describe the scope of this encryption and its limitations in our Privacy Policy.
6. Service Availability and Changes
- We aim to keep the Service available but do not guarantee uninterrupted or error-free operation.
- We may modify, suspend, or discontinue any part of the Service, including features, storage quotas, or trial/grace periods described in Section 2, on reasonable notice where practicable.
7. Termination
- You may stop using the Service and delete your account at any time.
- We may suspend or terminate your account for breach of these Terms, including the acceptable use restrictions in Section 4, or as otherwise described in Section 2 (trial expiry, inactivity, or unresolved storage overage).
- Upon deletion of your account, Your Content will be deleted in accordance with our Privacy Policy and any applicable data retention obligations.
8. Disclaimers and Limitation of Liability
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, to the maximum extent permitted by law.
To the maximum extent permitted by law, Confidesk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or revenue, arising out of or in connection with your use of the Service.
9. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Subject to any mandatory consumer protection rights you may have in your own country of residence, the courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service.
10. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you (for example, by email or an in-app notice) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
